Affiliate Program Terms
v1.0.0
Last updated: 2025-11-13
Introduction and Agreement
These Affiliate Program Terms (“Terms”) govern your participation in the CatDoes affiliate program (the “Program”) operated by CatDoes Inc., a Delaware corporation (“CatDoes,” “we,” “us”).
By applying to, joining, or participating in the Program, you (“Affiliate,” “you”) agree to these Terms and our Affiliate Privacy Notice.
We use Affonso to operate tracking and the affiliate portal and to process payouts.
Enrollment and Eligibility
Application and approval. You must submit accurate information and maintain it current. We may approve or reject any application at our sole discretion.
Minimum age and capacity. You must be at least 18 and able to enter a binding contract.
Prohibited participants. We may reject or remove sites, channels, or accounts that: (a) promote illegal activity, hate, discrimination, adult content, malware, or deception; (b) infringe others’ rights; or (c) pose fraud or brand‑safety risk.
Program Materials and Brand Use
We grant you a limited, revocable, non‑transferable, non‑exclusive license to use CatDoes’ name, approved logos, links, and creative assets solely to promote CatDoes under these Terms and our Brand Guidelines.
You must not: (a) register domains or social handles that include “CatDoes” or confusingly similar marks, (b) alter our logos, or (c) imply partnership, employment, or endorsement beyond this Program.
Tracking, Attribution, and Cookie Window
Tracking. Referrals are attributed via Affonso’s tracking script and parameters, including the affonso_referral cookie, and through mapped coupon codes if configured.
Attribution model. Last‑click wins within a 30‑day cookie window unless a unique, assigned coupon code is used, in which case the assigned affiliate takes precedence.
What qualifies. A “Qualified Transaction” is a paid subscription or payment by a new customer not previously in our system, not self‑referred, not fraudulent, not refunded/charged back, and not discounted to $0 (unless we explicitly include such promotions).
Trials. If a trial is offered, commission is only earned on the first successful paid charge after trial.
Upgrades/downgrades. Commission applies to net subscription charges actually paid by the customer for the duration specified in Section 6.
Prohibited Conduct
No brand bidding or trademark hijacking. You may not bid on CatDoes brand terms (including misspellings) on search engines, or use our brand in your ad display URLs.
No spam or deceptive practices. No unsolicited commercial emails/SMS, comment spam, auto‑generated fake reviews, forced clicks, cookie stuffing, or misleading claims.
No misrepresentation. Do not claim affiliation, certification, or results we have not approved. All statements must be truthful, accurate, and not misleading.
Coupon and pricing integrity. Do not publish unapproved coupons or misstate pricing or promotions.
Commissions, Duration, and Exclusions
Rate and duration. Default commission is 20% of Net Receipts, recurring for up to 12 months from the referred customer’s first paid charge, while the subscription remains active and in good standing. “Net Receipts” means amounts actually received by CatDoes for the applicable subscription, net of taxes, discounts, credits, refunds, and chargebacks.
Exclusions. No commission on: self‑referrals; internal test accounts; fraudulent/sign‑up abuse; non‑paid trials; invoices written off; refunded/charged back amounts; or customers with a pre‑existing CatDoes account/contact record.
Adjustments. We may adjust commissions for upgrades/downgrades, partial periods, prorations, or corrected billing events.
Refunds, Chargebacks, Hold Period
Hold period. Commissions become eligible for payout 30 days after the underlying customer payment, to allow for refunds/chargebacks.
Reversals. If a customer payment is refunded or charged back, related commissions are reversed or debited from future payouts.
Payouts, Thresholds, and Taxes
Schedule. Payouts are processed monthly on a net‑30 basis (e.g., January eligible commissions are paid in early March).
Threshold. Minimum payout is $50 (or the local currency equivalent if applicable). Balances roll over until the threshold is met.
Method and fees. Payouts are disbursed via Affonso using payment information you provide. Any third‑party or transfer fees may be deducted from the payout.
Tax forms. Affiliates are responsible for applicable taxes. We may require W‑9 (US persons) or W‑8BEN/W‑8BEN‑E (non‑US) and other information before payouts. We may withhold payouts until required information is complete.
Affiliate Portal Data and Privacy
Limited visibility. Affiliates will see aggregated performance metrics (clicks, conversions, commissions) but not end‑customer personal data (names, emails, payment details).
Compliance. You must process any personal data you collect in compliance with applicable law and publish a transparent privacy notice on your site or channel.
Compliance with Laws and Platform Policies
Endorsement disclosures. You must follow the FTC Endorsement Guides and comparable laws (e.g., “Ad:” or “#ad” and clear sponsorship statements). Disclosures must be clear and conspicuous in the same medium. See: https://www.ftc.gov/business-guidance/resources/ftcs-endorsement-guides-what-people-are-asking
Platform rules. You must comply with the terms of platforms you use (e.g., Google, Meta, X, YouTube, TikTok, email providers).
Global compliance. If you target consumers in the EU/UK/CA and other regions, comply with local marketing, privacy, and consumer laws.
Publicity, Reviews, and Claims
Honest content. Your content must reflect genuine views and experiences. Do not make unsupported claims or comparative claims about competitors unless you can substantiate them.
Reviews. Do not solicit or manage reviews in ways that distort overall sentiment (e.g., gating only positive reviews, hiding negatives).
Term, Termination, and Effect
At‑will. Either party may terminate at any time for any reason with or without notice. We may suspend or remove you immediately for suspected fraud, brand risk, or violation.
Post‑termination. Commissions already earned and eligible before notice are paid per these Terms. No commission accrues after termination effective date.
Intellectual Property and Ownership
All rights in CatDoes products, trademarks, and assets remain with CatDoes. No rights are granted beyond the limited license in Section 3.
Confidentiality
Non‑public information we share (rates, roadmaps, non‑public metrics) is confidential. You will not disclose it without our written consent.
Disclaimers and Limitation of Liability
AS IS. We provide the Program and materials “as is.” We disclaim all warranties to the maximum extent permitted by law.
Liability cap. CatDoes’ aggregate liability to you is limited to the total commissions paid to you in the six (6) months preceding the event giving rise to liability.
No indirect damages. We are not liable for lost profits, revenues, goodwill, or indirect/special/consequential damages.
Indemnification
You will indemnify and hold CatDoes harmless from third‑party claims arising from your content, promotions, breach of these Terms, or violation of law.
Changes to the Program and Terms
We may modify or discontinue the Program or these Terms at any time. Material changes will be posted in the portal or emailed. Continued participation after the effective date constitutes acceptance.
Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, excluding conflict‑of‑laws rules. Exclusive venue is the state and federal courts located in Delaware (unless otherwise required by law).
Miscellaneous
Independent contractors. You and CatDoes are independent—not partners, franchisees, or employees.
Assignment. You may not assign your rights without our prior written consent. We may assign to an affiliate or successor.
Entire agreement. These Terms plus any Program rules and portal‑posted policies are the entire agreement.
